Terms of Service

These terms govern your use of luma-e.com and any services provided by LUMA-E. By using the site or engaging our services you agree to these terms.

1. Services

LUMA-E provides ecommerce consultancy services including AI Visibility, AI Ecom Build, and Lifecycle + CRO. Specific scope, deliverables, timeline, and pricing for each engagement are documented in a separate Statement of Work (SOW) which forms part of these terms.

2. Free AI Audit

The free AI audit is provided as-is, without warranty. It is intended as a diagnostic tool, not as professional advice for a specific commercial decision. We make no guarantee that fixes recommended will produce a specific lift.

3. Payment terms

Standard payment terms are 50% on engagement start, 50% on delivery, unless otherwise specified in the SOW. Retainer engagements bill monthly in advance. Late payments accrue interest at 1.5% per month after a 14-day grace period.

4. Intellectual property

All work product delivered to you under an SOW becomes your IP upon full payment. LUMA-E retains the right to use anonymized case data, performance metrics, and general methodology in marketing materials unless explicitly excluded in the SOW.

5. Confidentiality

Both parties agree to keep confidential any non-public information shared during engagement. NDAs are signed standard for builds. Confidentiality survives termination indefinitely.

6. Termination

Either party may terminate a retainer engagement with 30 days' written notice. Fixed-price project engagements may be terminated by client with payment of work completed plus 25% of remaining contract value as cancellation fee.

7. Warranties + liability

LUMA-E warrants that services will be performed with reasonable care and skill. We do not warrant uninterrupted or error-free operation of any system. Maximum liability for any claim is capped at the fees paid by you to LUMA-E in the 12 months preceding the claim. No party is liable for indirect or consequential damages.

8. Governing law

These terms are governed by the laws of Vietnam. Any dispute will be resolved first through good-faith negotiation, then if unresolved, through binding arbitration in Hanoi, Vietnam.

9. Updates

We may update these terms from time to time. The “Last updated” date above reflects the latest version. Material changes will be communicated to active clients in writing.
